                         CONSTITUTION AND BYLAWS

OF THE PACIFIC AND ASIAN COMMUNICATION ASSOCIATION



                            
FOUNDED MARCH 1, 1995

 

 

Article 1 Name.  The name of this organization shall be the Pacific and Asian Communication Association. Official use of the Association's name shall be made only through the authority of the Board of Governors.

 

Article 2. Purposes.  The Association, a non-profit corporation, shall exist only for education, scientific and literary purposes. It shall promote study, criticism, research, teaching, and application of the artistic, humanistic, and scientific principles of communication.

 

Article 3. Membership. Membership in the Association is open to persons interested in promoting the Association's purposes.

 

Article 4. Operational Sphere. The Association's territorial sphere of operation is inclusive of but not exclusive to the area extending from 60 degrees longitude to 100 degrees longitude.  It consists of two divisions known as the North Pacific Ocean, the land and water mass north of the Equator, and the South Pacific Ocean, land and water mass south of the Equator. 

 

Article 5. Related Organizations.  Associations with objectives consistent with the Pacific and Asian Communication Association may affiliate upon approval of the Board of Governors. Affiliation entails the benefits of regular membership.

 

Article 6. Elected Officers.  The elected officers of the Association shall be President, 1st International Vice President, 2nd International Vice President, 3rd International Vice President, and Executive Director.  The elected officers shall be nominated and elected as stated in the bylaws. The duties of the officers shall be as specified in the bylaws. In the event an officer is unable to fill the term of office, the Board of Governors shall appoint a replacement to serve until the next election.

 

Article 7. Appointed Officers.  The Board of Governors may appoint additional officers as they deem necessary and appropriate  in order to further development of the Association. These positions may include Regional Vice Presidents to oversee new membership growth and maintenance and a Board of Advisors, consisting of past PACA Presidents and others who might be of invaluable assistance and advice. A majority vote of the Board of Governors requires in such instances.

 

Article 8  Board of Governors. The Board of Governors shall consist of the President, International Vice Presidents, Executive Director, Editor, Regional Vice Presidents, a Board of Advisors, and the Presidents of related organizations, if any. The Board of Governors shall be the principal policy making body of the Association and shall be responsible for managing its resources and affairs. The terms of office will correspond with their terms Association officers as  specified in the bylaws.

 

Article 9. Territorial Divisions.  The two territorial divisions within the Association shall be governed by the Division Governors as specified in the bylaws. The divisions are so specified for administrative facilitation purposes only and are  not separate entities.

 

Article 10. Committees, TaskForces, Caucuses.  The Board of Governors shall appoint such committees, task forces, caucuses, and other subgroups of members as deemed necessary.

 

Article 11. Official Language. The official language of the Association shall be English for administrative and managerial purposes. Publications of an official nature shall be in English. Newsletter and journal materials shall be printed in the language deemed appropriate by the editors.

 

Article 12. Amendments. A majority of the Board of Governors may pass amendments of  the Constitution.

 

Article 13. Dissolution. The Association may be dissolved as prescribed by the relevant incorporation laws of incorporating government entity. Funds or property remaining in the Association upon its dissolution shall be distributed to organizations with objectives consistent with the Association upon approval of the Board of Governors. No individual member shall profit from the Association's dissolution. Upon winding up and dissolution of this organization, after paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to a nonprofit fund, foundation, or corporation which is organized and operated exclusively for charitable, educational religious, and or scientific purposes and which has established its tax exempt status under section 501 (c) (3) of the Internal Revenue Code.



BYLAWS

 

Article 1. Membership. Association memberships shall be regular, life, sustaining, student, and organizational. The rights, privileges, and obligations of each class shall be determined by the Board of Governors. Sustaining members shall be those individuals or organizations contributing to the financial needs of the Association. Organizational members shall be those related organizations desiring Association affiliation. Student members shall be those students actively enrolled in a recognized college or university. Student member membership fees shall be one-half of the regular membership fee. Life membership shall be awarded to those members wishing the designation. Life membership fees shall be ten times of the regular membership fee.

 

Article 2. Dues and Fees.  Annual dues in the membership classes be determined by the Board of Governors. Other fees for meetings and activities of the Association shall be determined by the Executive Director with the concurrence of the President.

 

Article 3. A biennial meeting of the Association shall be held at a time and place determined by the President and Executive Director with concurrence of the officers. Other meetings shall be called as determined by the President.

 

Article 4. Election of Officers. The term of office for the Association elected officers shall be Three Years. The officers shall be elected by the regular and organizational membership. Each regular member shall have one vote and each organizational member shall have one vote. Life members shall have one vote. Nominations to office shall be made to the Board of Governors six month prior to the election. The Board of Governors shall conduct the election by mail ballot prior to the expiration of officers' terms. The Chief Executive Officer shall be appointed by the President with Board of Governor's concurrence.

 

Article 5. Duties of Officers.  The President shall be the presiding officer of the PACA Board of Governors and the PACA organization, and shall discharge the responsibilities customarily associated with this office. The 1st Vice President shall succeed to the office of the Presidency should the President be unable to function in that capacity. This individual will also be responsible for coordinating conference planning activities, as well as serving on the Board of Governors. The 2nd Vice President will act as a formal liaison with other similar organizations in the Pacific and Asian region and beyond, serve on the Board of Governors, and perform other duties as requested by the President and/or Board. The 3rd Vice President will coordinate efforts for recruiting new PACA membership and conduct other activities related to membership, serve on the Board of Governors, and perform other duties as requested by the President and/or Board. The Executive Director shall be appointed by the President, with the approval of the Board. This individual shall maintain the Association's financial and membership records, and administer the affairs of the Association as directed by the President and/or Board.


Article 6. Publications. To properly promote the study, criticism, research, and application of the artistic, humanistic and scientific principles of communication, the Association shall publish and disseminate such materials as necessary to accomplish these goals. Editors or principal reporters of Association publications shall be appointed by the President. The Executive Director shall manage publication procedures as determined  by the Board of Governors.


Article 7. Parliamentary Authority. The Parliamentary rules and procedures contained in the current edition of Roberts' Rules of Order shall govern Association business meetings except in those matters specified in the Constitution and Bylaws.


Article 8. Amendments. Bylaw amendments may be initiated by a majority of regular and organizational members. The Board of Governors shall approve such changes.
